S-corp complexity shouldn't cap your capacity

An S-corp return demands accuracy across K-1 allocations, shareholder basis tracking, reasonable-compensation analysis, and state-level elections. One mistake cascades to every shareholder's personal return – and experienced 1120-S preparers are exactly the people in shortest supply during season.

K-1 Complexity

Multi-shareholder K-1 allocations with different income types, basis limitations, and at-risk rules create error-prone workflows.

Shareholder Basis Errors

35% of S-Corp returns have basis computation errors that expose shareholders to incorrect loss limitations and distribution treatment.

Reasonable Compensation

Officer compensation analysis requires industry benchmarking and documentation that most preparers rush or skip during season.

State-Level Differences

PTE elections, composite returns, and varying state S-Corp rules add layers of complexity that differ across jurisdictions.

S-Corp Tax Deadlines & Penalties

The dates and rules that drive every 1120-S engagement. We track them per entity so nothing slips during season.

Filing Deadline

Form 1120-S is due the 15th day of the 3rd month after the tax year ends. For calendar-year S-corps that is March 15 – and for the 2025 tax year it lands on March 16, 2026, because the 15th is a Sunday.

Extension (Form 7004)

Filing Form 7004 grants an automatic 6-month extension of time to file. It does not extend time to pay – any tax due is still owed by the original deadline, so estimates matter.

Late-Filing Penalty

The IRS penalty is $255 per shareholder for each month (or part of a month) the return is late, up to 12 months. A return over 60 days late carries a minimum penalty equal to the smaller of the tax due or $525 (returns filed in 2026). Because it multiplies by the shareholder count, a multi-owner S-corp accrues penalties fast.

A related trap is the 2% rule: shareholders who own more than 2% of the S-corp must include certain fringe benefits (such as company-paid health insurance) in W-2 wages, then deduct them on the personal return. We flag these during preparation so they are not missed. Deadlines, rates, and thresholds change – we confirm them against the current IRS instructions for your year and facts.

In-House vs. Accountably

S-corp tax preparation typically runs $1,200–$3,000 per 1120-S when outsourced or bought à la carte, and far more once you build the capacity in-house. An experienced S-corp preparer costs $70K–$90K in salary; add basis-tracking complexity, K-1 generation time, and multi-state compliance, and you are at $95K–$120K fully loaded for someone who can handle the full scope without constant supervision.

How a Growing Practice Scaled S-Corp Capacity 50% Without U.S. Headcount

A practice handling 450+ S-corp returns was turning away new engagements because its 3 U.S. preparers were at capacity. K-1 generation and basis tracking consumed 60% of prep time. With 3 Accountably specialists, it scaled capacity by 50%, reduced K-1 errors to near zero, and freed senior staff for advisory work – adding $200K in new annual revenue.

"We stopped saying no to new S-corp work the month Accountably came on board."

– Rachel Kim, Managing Partner

Offshore S-Corp delivery, built for review protection

Offshore S-corp preparation fails when it is treated like staffing – resumes, no SOPs, no review structure. We run it as a delivery system instead. Every 1120-S moves through a defined workflow so the work that reaches your desk is review-ready, not raw.

Common Questions

S-corp deadlines, penalties, and how our outsourced 1120-S preparation works.

Our specialists maintain year-over-year basis worksheets for every shareholder, tracking stock basis, debt basis, loss limitations, and distribution ordering. Basis calculations are cross-referenced to prior year returns and reconciled to current year activity.
Every K-1 goes through a 4-point verification: income character check, allocation accuracy review, basis limitation cross-reference, and reporting code validation. K-1 packages arrive at your desk review-ready.
Form 1120-S is due the 15th day of the 3rd month after the S-corp's tax year ends. For calendar-year filers that is March 15, and for the 2025 tax year it falls on March 16, 2026 because the 15th is a Sunday. Filing Form 7004 grants an automatic 6-month extension of time to file, though not to pay. We track these deadlines per entity so extensions are filed on time when a return cannot be completed.
The IRS charges a late-filing penalty of $255 per shareholder for each month or part of a month the return is late, for up to 12 months. A return more than 60 days late carries a minimum penalty equal to the smaller of the tax due or $525 (returns filed in 2026). Because the penalty multiplies by the number of shareholders, a multi-owner S-corp can accrue penalties quickly, which is why our SLAs and extension tracking exist.
Yes. We prepare pass-through entity (PTE) tax election filings, composite returns for non-resident shareholders, and state withholding calculations. These are coordinated with the primary 1120-S to keep numbers consistent across jurisdictions.
We prepare officer compensation documentation using BLS data, industry benchmarks, and comparable salary studies. Our analysis packages are designed to support audit defense if reasonable compensation is challenged.
Standard 1120-S: 3–5 business days. Complex multi-shareholder returns: 5–7 business days. We maintain these SLAs through dedicated S-corp specialists who focus exclusively on pass-through entity work.
Yes. Most engagements start with straightforward single-owner or small-shareholder S-corps to validate quality, then expand to complex multi-state, multi-shareholder returns once the workflow is proven.
Yes. Our teams work inside your existing tax software, including Drake, Lacerte, UltraTax CS, ProConnect, CCH Axcess, and GoSystem. We train on your platform and workpaper standards during onboarding, so there is no migration and no change to how returns are reviewed or filed.
