Filing Deadline
Form 1120-S is due the 15th day of the 3rd month after the tax year ends. For calendar-year S-corps that is March 15 – and for the 2025 tax year it lands on March 16, 2026, because the 15th is a Sunday.
Extension (Form 7004)
Filing Form 7004 grants an automatic 6-month extension of time to file. It does not extend time to pay – any tax due is still owed by the original deadline, so estimates matter.
Late-Filing Penalty
The IRS penalty is $255 per shareholder for each month (or part of a month) the return is late, up to 12 months. A return over 60 days late carries a minimum penalty equal to the smaller of the tax due or $525 (returns filed in 2026). Because it multiplies by the shareholder count, a multi-owner S-corp accrues penalties fast.
A related trap is the 2% rule: shareholders who own more than 2% of the S-corp must include certain fringe benefits (such as company-paid health insurance) in W-2 wages, then deduct them on the personal return.
